Terms of Service
The service
Replyo provides an AI-assisted messaging platform that lets businesses respond to customer enquiries on WhatsApp Business and web chat using their own catalog and knowledge base. Access to the service is subscription-based. By creating an account or using the service, you agree to these terms.
Accounts and eligibility
You must be at least 18 years old and authorised to act on behalf of the business you represent. You are responsible for keeping your login credentials secure. Notify us immediately at support@replyo.app if you suspect unauthorised access.
Acceptable use
You may use Replyo only for lawful business purposes and in compliance with applicable EU law and the WhatsApp Business Policy. You must not: • Send spam, unsolicited bulk messages, or use the platform for marketing to recipients who have not opted in. • Attempt to reverse-engineer, scrape, or overload the service. • Upload content that is illegal, defamatory, or infringes third-party intellectual property rights. • Use the service to process special-category personal data (health, financial) without adequate safeguards and our prior written consent.
Plans, billing, and the 14-day trial
Plans are billed monthly or annually in EUR. The 14-day free trial gives you full access with no credit card required; it converts to a paid plan only if you actively choose one. Subscriptions renew automatically. You may cancel at any time from your dashboard; cancellation takes effect at the end of the current billing period. We do not offer refunds for partial periods, except where required by applicable consumer law. We reserve the right to change pricing with 30 days' notice. Existing subscribers keep their current price for the remainder of the billing period in which notice is given.
Your data and content
You retain ownership of all catalog data, documents, and customer-conversation content you upload or generate through the service. You grant us a limited, non-exclusive licence to process that content solely to provide and improve the service. We process personal data in your content as a data processor acting on your instructions. You are the data controller for your customers' data and remain responsible for obtaining any necessary consents and for providing your customers with appropriate privacy notices. Our processing obligations are set out in the Data Processing Agreement available at replyo.app/dpa.
Service availability
We aim for high availability but provide the service 'as is', without any warranty of uninterrupted or error-free operation. We do not guarantee that the AI assistant will produce correct or complete answers in all cases — it is designed to ground responses in your data and escalate when uncertain, but no AI system is infallible. We will notify you of planned maintenance in advance where possible.
Limitation of liability
To the fullest extent permitted by Romanian and EU law, our total liability to you for any claim arising out of or related to these terms or the service is limited to the fees you paid in the three months preceding the event giving rise to the claim. We are not liable for indirect, consequential, or punitive damages, including lost profits or data loss, even if we have been advised of the possibility of such damages. Nothing in these terms limits our liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.
Termination
You may close your account at any time from your dashboard. We may suspend or terminate your account if you breach these terms, fail to pay outstanding amounts after a 7-day notice, or if required by law. On termination, your data is retained for 30 days (so you can export it) and then deleted in accordance with our retention policy.
Governing law and contact
These terms are governed by the laws of Romania and, where applicable, the law of the European Union. Any disputes shall be subject to the exclusive jurisdiction of the courts of Romania, without prejudice to your rights as a consumer under mandatory EU law.
